Terms of Use

• By checking the acceptance box and using the service, you confirm that you have read, understood and agree to be bound by these Terms.
• You must be at least 18 years of age and legally capable of entering into a binding contract.
• Electronic acceptance is intended to form a binding agreement between you and Private List Concierge, and we may retain a record of that acceptance.
• If you do not agree to these Terms, you must not use the service.

• Private List Concierge is an informational private-client recommendation, research and referral-discovery service.
• We are not the provider of the third-party services recommended, are not a party to any agreement between you and a provider, and do not act as your agent, fiduciary, broker, employee, partner, representative or professional adviser.
• Unless expressly stated otherwise in a separate written agreement, we do not book, supervise, manage, direct, employ or control third-party providers.
• Recommendations are intended to narrow a field of possible providers. They are a starting point for your own decision-making and are not a guarantee of suitability.

• All providers referred to, listed or recommended are independent third parties.
• We do not control and are not responsible for provider acts or omissions, workmanship, negligence, professional malpractice, misconduct, fraud, safety practices, licensing, insurance, confidentiality, availability, pricing, contracts, warranties, regulatory compliance or data practices.
• A provider’s inclusion, recommendation, appearance, ranking, profile or “Private List Concierge Recommendation” status is not certification, accreditation, verification, endorsement, approval, guarantee, warranty, due diligence, or a representation that the provider is suitable, licensed, insured, reputable, safe, solvent, compliant, or free of disciplinary, criminal or regulatory issues.
• You are solely responsible for deciding whether to contact, investigate, retain, pay or rely on a provider and for conducting whatever independent checks are appropriate before engagement.

• We may compile, organize, summarize, compare or review publicly available, provider-supplied, third-party, directory, professional, reputational or other available information for search and recommendation purposes.
• We do not undertake a due-diligence investigation, interview every provider, conduct background or reference checks, or independently verify every fact, licence, insurance policy, credential, disciplinary record, regulatory standing, ownership detail, personnel claim, service description, price, availability or representation.
• Available information may be incomplete, inaccurate, outdated, disputed or changed without notice, and search results may omit relevant facts or providers.
• Before engagement, you must conduct whatever independent checks are appropriate, which may include licences, insurance, credentials, references, contracts, regulatory standing, lawful background checks where relevant, professional discipline history, safety, pricing, reputation and suitability.
• We may add, remove, suspend, reclassify or stop recommending a provider at any time and for any lawful reason.

• Results may include lawyers, accountants, tax advisers, medical and care providers, wealth professionals, security specialists and other regulated or specialized professionals.
• Nothing on this site is legal, medical, financial, investment, tax, accounting, insurance, security, emergency or other professional advice from Private List Concierge.
• Use of the service does not establish a professional-client relationship between you and Private List Concierge.
• You must obtain advice directly from an appropriately qualified professional.

• The service is not an emergency service and must not be used for urgent medical, safety, security, crisis or emergency response.
• Where immediate assistance is required, contact emergency services or the appropriate regulated professional directly.

• The service may use automated, algorithmic, machine-learning or AI-assisted tools to interpret requests, search our curated database and rank possible matches.
• Automated output may misunderstand a request or produce an unsuitable match.
• AI-assisted matching does not replace your judgment, professional advice or independent verification.
• We do not guarantee error-free automated output.

• We do not guarantee that the service will locate a provider, locate a provider within a requested timeframe, return a particular number of results, or find someone who ultimately meets your needs.
• Research timelines such as “within one business day” are service targets, not legally binding guarantees, and may vary due to complexity, provider availability, holidays, events beyond our control or other circumstances.

• Providers cannot purchase recommendation placement or ranking.
• If we later receive compensation for advertising, sponsorship, enhanced profiles, memberships or other commercial arrangements, such compensation will not determine recommendation selection or ranking.
• Material sponsored or advertising relationships will be identified where required by applicable law.

• You must provide lawful, accurate requests and use the service only for legitimate purposes.
• You must not use the service for unlawful, fraudulent, harassing, discriminatory, abusive, threatening, defamatory, exploitative, stalking or surveillance purposes, weapons or criminal procurement, sanctions evasion, money laundering or other harmful uses.
• You must not scrape, automatically extract, reverse engineer, bypass access controls, impersonate others, distribute malware, interfere with the service, harvest provider details in bulk, or use provider information to spam or solicit without a lawful basis.
• We may refuse service, remove content, block access or report conduct where reasonably necessary for legal, safety or integrity reasons.

• Provider websites, contact details and external links are third-party resources.
• We are not responsible for third-party websites, privacy practices, terms, content, cybersecurity, transactions or communications.
• Clicking a link or contacting a provider is at your discretion and risk.

Our use of personal information is governed by our Privacy Notice. We collect only information reasonably necessary to operate the service, such as your search requests and, where you ask us to conduct manual research, the email address used to reply to you. Marketing communications, if ever offered, will require separate consent where legally required and are not bundled into these Terms.

• The site design, branding, curation, provider notes, recommendation framework, database structure, written content and software are owned by or licensed to Private List Concierge and protected by applicable intellectual property laws.
• You may use the service for personal, non-commercial purposes only, unless separately authorized in writing.
• No copying, republication, resale, creation of competing databases, systematic extraction or commercial reuse is permitted without our written permission.
• Provider names and trademarks remain the property of their respective owners.

• We may change, suspend, restrict or discontinue any part of the service, provider coverage, geography, functionality or research process at any time.
• We do not guarantee uninterrupted, secure or error-free availability.

To the fullest extent permitted by applicable law, the site and service are provided “as is” and “as available,” without representations, warranties or conditions of any kind, express, implied, statutory or collateral, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, availability, quality, suitability or results.

Nothing in this section purports to exclude any warranty, condition or right that cannot lawfully be excluded. Where applicable law does not permit the exclusion of certain warranties, those warranties apply and this section is limited accordingly.

• You acknowledge that engaging a third-party provider involves independent judgment and risk.
• You assume responsibility for deciding whether to contact, retain, pay or rely on a provider.
• Private List Concierge does not assume custody, supervision or control over a provider’s work.

To the fullest extent permitted by law, Private List Concierge and its owners, officers, employees, contractors, affiliates and agents will not be liable for indirect, incidental, consequential, exemplary, punitive or special damages, lost profits, revenue or opportunities, loss of data, reputational harm, property damage, personal decisions made in reliance on third-party information, or losses arising from the acts or omissions of third-party providers.

To the fullest extent permitted by law, our aggregate direct liability arising from or relating to the site or service is limited to the greater of (i) CAD $100 and (ii) the amount you actually paid directly to Private List Concierge for the specific service giving rise to the claim during the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including, where applicable, liability for fraud, fraudulent misrepresentation, intentional misconduct, or death or personal injury caused by negligence. Nothing in these Terms waives any mandatory consumer protection right or remedy.

You agree to indemnify and hold harmless Private List Concierge from third-party claims, liabilities and reasonable costs arising from (a) your unlawful misuse of the service, (b) infringement or misappropriation caused by material you supply, or (c) your material breach of the prohibited-use provisions above — except to the extent the claim is caused by our own conduct or by any liability that cannot lawfully be excluded.

Nothing in these Terms waives, or is intended to waive, any right or remedy that cannot be waived under applicable consumer protection law, including the Consumer Protection Act, 2002 (Ontario) where it applies. Where any provision conflicts with such a right, that right prevails and the remaining provisions continue to apply.

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without prejudice to mandatory consumer protections that apply in your jurisdiction. Subject to non-waivable statutory rights, disputes may be brought in the courts located in Ontario, Canada. This clause does not override mandatory local consumer jurisdiction rules that apply to you.

• We may amend these Terms prospectively.
• Material changes will carry a new version number and effective date, and users will be asked to accept the revised Terms before their next search.
• Continued use following valid acceptance of the revised Terms constitutes agreement to them.

• If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions continue in full force to the fullest extent permitted by law.
• Our failure to enforce any provision is not a waiver of it.
• These Terms, together with the Privacy Notice, form the entire agreement between you and Private List Concierge regarding use of the site, and replace prior understandings on that subject.
